Welcome to Zantray ("Zantray," "we," "our," or "us"). By accessing or using zantray.net, you agree to be bound by these Terms & Conditions. If you do not agree, please do not use the platform.

Zantray is an online marketplace that connects customers with independent vendors and service providers.

1. Platform Role
Zantray provides a technology platform that allows vendors and service providers to list products or services for sale. Zantray is not a seller, merchant, or service provider unless explicitly stated.

All transactions occur directly between customers and independent vendors or service providers.

2. Eligibility
You must be at least 18 years old to use Zantray. By using the platform, you represent that you are legally able to enter into binding agreements.

3. User Accounts
Users may be required to create an account to access certain features. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities conducted under your account

Zantray reserves the right to suspend or terminate accounts for violations of these Terms.

4. Vendors & Service Providers
Vendors and service providers:

• Operate independently from Zantray
• Are responsible for the accuracy of their listings
• Must comply with all applicable laws and regulations
• Are solely responsible for fulfilling orders and providing services

Zantray does not guarantee vendor performance or product quality.

5. Payments

• Payments are processed through third-party payment processors such as Stripe
• Zantray does not store full payment card information
• Fees, commissions, or subscription charges may apply as disclosed to vendors
• Zantray is not responsible for payment processor errors or delays

6. Shipping (Physical Products – US Only)

• Zantray currently supports shipping within the United States only
• Vendors are responsible for shipping physical products
• Shipping rates are calculated at checkout via third-party carriers using Shippo
• Zantray is not responsible for shipping delays, lost packages, or carrier issues

7. Returns & Refunds

• Return and refund policies are determined by individual vendors
• Customers must review vendor return policies before purchasing
• Zantray is not responsible for approving or issuing refunds unless otherwise stated

8. Prohibited Activities
Users may not:

• Violate any applicable laws or regulations
• Post false, misleading, or fraudulent content
• Interfere with platform functionality
• Abuse, harass, or harm other users
• Attempt to bypass platform fees or systems

Violations may result in account suspension or termination.

9. Intellectual Property
All Zantray branding, content, and platform materials are owned by or licensed to Zantray. Users may not copy, reproduce, or distribute content without permission.

Vendors retain ownership of their own content but grant Zantray a license to display it on the platform.

10. Limitation of Liability
To the fullest extent permitted by law:

• Zantray is not liable for indirect, incidental, or consequential damages
• Zantray is not responsible for vendor actions, service quality, or product defects
• Use of the platform is at your own risk

11. Indemnification
You agree to indemnify and hold harmless Zantray from any claims, damages, or expenses arising from:

• Your use of the platform
• Your violation of these Terms
• Your transactions with vendors or customers

12. Termination
Zantray may suspend or terminate access to the platform at any time, with or without notice, for violations of these Terms or for operational reasons.

13. Modifications
Zantray reserves the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised effective date.

14. Governing Law
These Terms are governed by the laws of the United States and the State in which Zantray is registered, without regard to conflict of law principles.

15. Sales Tax Notice

Sales tax is calculated based on the seller’s location and applicable state tax laws at the time of purchase.

For orders shipped within Ohio, state sales tax is applied. Local county or municipal taxes may be applied where required once automated tax calculation is fully enabled.

Zantray is actively working to enhance tax accuracy and compliance through automated systems. Any applicable taxes collected are remitted in accordance with state regulations.

16. Vendor & Service Provider Registration Fee (Full Access)

Zantray requires all vendors and service providers to pay a one-time, non-refundable registration fee to obtain full access to the Zantray platform.

Full access includes, but is not limited to:

• The ability to create and manage a vendor or service provider account
• Listing and managing products or services
• Access to platform tools, dashboards, and features
• Participation in the Zantray marketplace ecosystem

The registration fee:

• Is charged once at the time of onboarding
• Is non-refundable under all circumstances, including but not limited to:
  • Lack of sales or platform usage
  • Account inactivity
  • Voluntary account closure
  • Account suspension or termination
• Does not guarantee sales, traffic, or profits

The registration fee covers administrative, onboarding, and platform operational costs required to provide and maintain full access to Zantray.

By completing registration and submitting payment, vendors and service providers acknowledge and agree that the registration fee is final, non-refundable, and required for full access to the platform.
